You agree to indemnify, defend, and hold harmless TetherHub LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

9. Dispute Resolution

9.1 Informal Resolution. Before initiating any formal dispute resolution proceedings, you agree to first contact us at info@tetherhub.net and attempt to resolve the dispute informally for a period of at least thirty (30) days. During this period, both parties agree to negotiate in good faith.

9.2 Binding Arbitration. If the dispute is not resolved through informal resolution within 30 days, you and TetherHub LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Website shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association ("AAA") then in effect. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

9.3 Class Action Waiver.

YOU AND TETHERHUB LLC AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

9.4 Exceptions. Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights. Either party may also bring an individual action in small claims court for disputes within the jurisdiction of such court.

10. Governing Law

These Terms and any disputes arising out of or related to them or the Website shall be governed by and construed in accordance with the laws of the United States of America and the state in which TetherHub LLC is organized, without regard to conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the jurisdiction where TetherHub LLC maintains its principal place of business.

11. Changes to These Terms

TetherHub LLC reserves the right to modify or replace these Terms at any time, at its sole discretion. If we make changes, we will post the revised Terms on the Website with an updated "Effective Date." Your continued use of the Website after such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Website.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction or arbitrator, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TetherHub LLC regarding the Website and supersede all prior agreements, communications, and understandings, whether written or oral, relating to the Website.
